Corporate governance / Fiduciary duties
We both prosecute and defend actions against corporate officers and directors over alleged breaches of fiduciary duties, fraud, and other alleged misconduct. In addition, we have represented shareholders and directors in battles over corporate control of closely held companies, including family-owned businesses. These cases present unique challenges, and no two are alike (as Tolstoy wrote: βAll happy families are alike; each unhappy family is unhappy in its own way.β).
COMMERCIAL LITIGATION / contracts
We litigate business disputes on behalf of both plaintiffs and defendants. Most of these are contractual disputes, includes disagreements about whether there is a contract in the first place. Although we have helped many clients resolve disputes without needing to litigate or arbitrate, we also aggressively litigate cases in courts and arbitral forums around the world when necessary. For example, in 2017, we won a breach-of-contract case after a jury trial in Manhattan federal court, representing an individual against a major investment firm.
EMPLOYMENT
Our employment practice includes litigation on behalf of plaintiffs and defendants as well as internal investigations, advice, and contract negotiations. Because we represent both employees and employers, we may anticipate issues and hurdles that other lawyers may overlook.
Intellectual Property
Our intellectual property practice has primarily involved resolving disputes about ownership and licensing of patents and copyrighted works through mediation, arbitration, and litigation in court, including an appellate victory in the Federal Circuit Court of Appeals, which decides patent law appeals for the entire U.S.

Our lawyers have the skills necessary to brief, argue, and win appeals. We have litigated criminal and civil appeals in both federal and state appellate courts, including the U.S. Supreme Court. We have also successfully settled cases during pending appeals.
